Terms and Conditions
These terms and conditions of use ("Terms") constitute a legal agreement between you and Story Spaces, LLC. ("Story", "us", "we", or "our") and govern your use of the services Story Spaces, LLC makes available to you as a member and licensee of our coworking spaces managed by Story or one of its subsidiaries or affiliated entities, as well as our online member platform, mobile app, and all digital services ("Services"). Through our website, member portal, and mobile applications (including related domains, sites, and apps, the "Site"), you may access your Story member account and make use of both our physical space and digital services. These Terms also govern all visitors of the Site who are not members or licensees of the Site.
By (i) clicking an "Accept" or similar button, (ii) checking a box captioned with acceptance language, (iii) signing up for membership or an account on the Site, (iv) using the Services, or (v) communicating or otherwise contacting Story through the Site, you acknowledge that you have read and understand these Terms and that you agree to be bound by them. If you are using the Site on behalf of a company or other legal entity, the term "you" shall refer to such entity in addition to the individual user, and the individual accepting these Terms on behalf of such entity represents that he or she has the authority to bind the entity to these Terms.
YOU MAY NOT USE THIS SITE OR THE SERVICES IF YOU DO NOT AGREE TO THESE TERMS. PLEASE REVIEW THEM CAREFULLY.
Rules
By signing up for Story, you are agreeing to our rules. Both those that are outlined explicitly in these guidelines and those that are basic expectations of kindness and common decency. If you violate the rules, your membership and access to the space is eligible for cancellation.
If you violate rules of common courtesy or decency, then we reserve the right to cancel your membership. This includes, but is not limited to, verbal altercations with members or staff, lack of common respect to staff or members, raising your voice or yelling, sleeping in our spaces, misuse of our space, attempting to or booking spaces for others that aren’t part of your team membership, hateful speech of any kind, failure to adhere to the code of conduct stated below and rules outlined in this Terms & Conditions agreement.

As a Member of the Story community, you and your organization agree to conduct business in a manner consistent with our following core values:

Guest Policy
All guests must be registered prior to admittance via your member portal. Members are responsible for their guests' conduct and adherence to all Story rules and policies.
Hours of Operation and 24/7 Access
Story's general access hours are Monday through Friday, 8:00 AM to 5:00 PM. 24/7 access may be available to certain membership levels as specified in your License Agreement. Holiday hours may vary and will be communicated in advance.
24/7 Coworking Access and Pre-Cleaning/Pre-Destructive Waiver
Extended Hours Access: Members may have access to coworking facilities during extended hours, including 24/7 access where applicable, subject to the terms and conditions set forth herein and any additional operating procedures established by Story Spaces, LLC.
Pre-Cleaning Waiver: Member acknowledges and agrees that:
The Premises may not be cleaned or maintained to standard daytime operating conditions during extended hours or 24/7 access periods;
Member assumes full responsibility for the cleanliness and condition of any areas utilized during extended hours;
Member waives any claims against Story Spaces, LLC for the condition, cleanliness, or maintenance status of the Premises during extended hours access;
Member agrees to leave any utilized areas in the same or better condition than found.
Pre-Destructive Waiver: Member acknowledges and agrees that:
Use of the Premises during extended hours may involve increased risks due to reduced staffing, lighting, security presence, or building maintenance activities;
Member assumes all risks associated with extended hours access, including but not limited to personal injury, property damage, theft, or other losses;
Member waives any claims against Story Spaces, LLC, its employees, contractors, or affiliates for any damages, injuries, or losses that may occur during extended hours access;
Member acknowledges that security systems, emergency procedures, and response times may be different during extended hours;
Member agrees to immediately report any incidents, damages, or safety concerns that occur during extended hours access via our member app help desk or by emailing hello@storylouisville.com.
Additional Extended Hours Responsibilities: Members utilizing extended hours access agree to:
Comply with all building security procedures and access protocols;
Ensure proper securing of the Premises upon departure;
Report any equipment malfunctions, safety hazards, or building issues immediately;
Assume responsibility for any guests or invitees during extended hours access;
Follow all applicable local laws and regulations regarding noise ordinances and community standards.
Workspace Usage
Members may use common areas, designated workspaces, and amenities in accordance with their membership level. Private offices and meeting rooms must be reserved in advance through the member portal. Members must clean up after themselves and leave spaces as they found them.
Technology and WiFi Usage
Story provides complimentary high-speed internet access. Members agree not to:
Use excessive bandwidth that disrupts service for others
Engage in illegal file sharing or downloading
Access, transmit, or store inappropriate or illegal content
Attempt to breach network security or interfere with network operations
Food and Beverage Policy
Members may bring food and beverages into the space. Kitchen facilities are available for member use and must be cleaned after use. Outside catering for events must be communicated in advance to Story staff.
Cancellation
To cancel your membership log into your member portal and select the “Membership” page, click “Request Cancellation” next to any eligible membership, click “Confirm” to submit the request.
10 days notice prior to the next billing cycle is required. Cancellation requests after this period will not be refunded.
Membership Termination
Story reserves the right to cancel any member's membership at any time with or without cause. If Story cancels a member's membership and communicates that we are not interested in their membership in the future, then future membership is prohibited. If Story finds evidence of persons signing up for a new membership and visiting a Story location after such communication, then Story reserves the right to pursue appropriate legal remedies including charges for unlawful entry.
Weapons Policy
Story does not allow weapons of any kind in our spaces. Members will receive one warning before membership cancellation.
Drug and Smoking Policy
Members are not permitted to smoke, vape, or use tobacco products on Story Spaces, LLC properties under any circumstances (including outdoor areas). Drug paraphernalia of any kind is not allowed on the premises. Use or possession of illegal drugs will result in immediate membership termination and law enforcement notification.
Filming and Photography Policy
Filming and photography are not permitted in any public space in the facility, as this may impact the experience of other members. Filming and photography are permitted in private meeting rooms and phone booths, as long as furniture is not moved and other members' experiences are not impacted. Professional filming requires advance approval from Story management and a signed release from those in the space during the time filming takes place.
License Agreements
The Services and password-protected portions of the Site are available only to those members and licensees who have entered into a License or membership Agreement with Story, and the employees and authorized users of such licensees as provided in the respective Member or License Agreement. If you are not subject to a current Membership or License Agreement, you may only visit the publicly accessible portions of the Site.
User Accounts
When you join Story and register your online account, Story will provide you with user credentials (such as a user name and password) to access the non-public portions of the Site. You agree not to give these credentials to anyone else or allow anyone else to use or access the private portal and other protected content. When registering for your account, you must provide true, accurate, current, and complete information about yourself, and you must continue to maintain and update the information you have provided so that it remains true, accurate, current, and complete so long as you continue to use the Site. Anonymous or false identities are not allowed on the Site.
Payments
Story may provide you with the ability to pay fees or purchase optional Services through the Site. Story accepts payments by credit/debit card and automated clearing house (ACH) payments, and the Site is compliant with the data security standards promulgated by the PCI Security Standards Council. By submitting your payment information (whether on a one-time or recurring basis), you authorize Story to charge your credit card or initiate ACH debits for all fees owed to Story or its affiliates. We require a valid payment method to be on file for all members at all times. To update your payment information please visit your member portal or contact us at hello@storylouisville.com.
Late Payment Policy: Failure to pay your monthly membership dues and other applicable fees within seven (7) days of invoicing will result in a 10% late fee applied to the outstanding balance. If the balance remains outstanding at thirty (30) days, your membership is subject to termination. All fees not paid when due will incur an interest charge of 10% per month or the highest rate permitted by law, whichever is less. You will be subject to additional fees and/or penalties for late payments, returned checks, or other declined payments due to insufficient funds, as referenced in the License Agreement. All fees listed are exclusive of taxes unless otherwise noted, and you agree to be responsible and hold Story harmless for any taxes levied by applicable governmental authorities (including, without limitation, sales and use taxes and value-added taxes, where applicable).
Security and Access Control
Members will be provided access credentials (key cards, codes, etc.) for facility entry. These credentials are non-transferable and must not be shared with non-members. Lost or stolen access credentials must be reported immediately, key cards and fobs will incur a $25 charge for replacement. Members are responsible for ensuring the facility remains secure when entering or exiting.
Personal Property and Storage
Story is not responsible for lost, stolen, or damaged personal property. Items are not to be left in common areas. Personal items abandoned will be placed in the lost and found and held for up to 30 days. Personal belongings left on the premises for more than 30 days after membership termination will be considered abandoned and may be disposed of.
Lost and Found Policy
Lost items will be placed in the lost and found and held for up to 30 days. After 30 days, Story will discard or donate unclaimed items.
Pet Policy
Only registered service animals are allowed in Story. Emotional support animals and pets are not permitted inside.
Liability and Indemnification
Members use Story facilities at their own risk. Story is not liable for injuries, accidents, or damages that occur on the premises unless caused by Story's gross negligence. Members agree to indemnify and hold harmless Story from any claims, damages, or liabilities arising from their use of the facilities.
Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, images, and software, is the property of Story or its licensors and is protected by copyright and other intellectual property laws. Members may not reproduce, distribute, or create derivative works from any Site content without express written permission.
Privacy Policy
Your privacy is important to us. How we collect and use your information is described in our privacy policy, which is available at www.storylouisville.com/privacy-policy and is incorporated into these Terms.
Audio and Visual Information
We may collect audio and visual information when you are using the space. For example, closed circuit video surveillance cameras ("CCTV") may be installed at our facility to monitor building security and assist in crime prevention, detection, and investigation, and to ensure the safety of our staff and visitors to our facilities, and these CCTV cameras may collect audio, visual, and similar information. We may also use these CCTV cameras to assist in member identification and the enforcement of space rules.
Miscellaneous
a. Failure of Story to insist upon the strict performance of any term or condition of this Agreement or to exercise any right or remedy available for a breach thereof, and acceptance of full or partial payment during the continuance of any such breach shall not constitute a waiver of any such breach or any such term or condition.
b. No term or condition of this Agreement required to be performed by Member and no breach thereof shall be waived, altered or modified, except by a written instrument executed by Story.
c. Each term, provision and obligation of this Agreement shall be construed as both a covenant and condition.
d. This Agreement, along with any attachments or exhibits, embodies the entire understandings between the parties relative to its subject matter, and shall not be modified, changed or altered in any respect except in writing signed by all parties.
e. This Agreement is subject and subordinate to the Lease governing the Premises, under which Story (or its affiliate) is bound as tenant; and the provisions of the Lease, other than as to the payment of Monthly Services or other monies, are incorporated into this Agreement as if completely herein rewritten. Member shall comply with and be bound by all provisions of the Lease (except that the payment of Monthly Services shall be governed by the provisions of this Agreement), and Member shall indemnify and hold Story harmless from and against any claim or liability under the Lease of Story arising from Member's breach of the Lease or this Agreement. Story covenants and warrants that the use of the Premises as a business office is consistent with and does not violate the terms of the Lease.
f. Story covenants and agrees with Member that upon Member paying all the Monthly Services Fees hereunder and all other charges due under this Agreement and observing and performing all the terms, covenants and conditions of this Agreement, Member may peaceably enjoy the Premises, subject to the terms of this Agreement and the share arrangement contemplated hereby and the terms of the Lease.
g. The party or parties executing this Agreement on behalf of the Member warrant(s) and represent(s) that such executing party (or parties) has (or have) complete and full authority to execute this Agreement on behalf of Member; and that Member shall fully perform its obligations hereunder.
h. This Agreement shall be governed by the laws of the Commonwealth of Kentucky. The parties agree that any legal proceeding concerning the enforcement or interpretation of this Agreement shall be exclusively venued in Jefferson County.
i. If any part of this Agreement is determined to be void, invalid, inoperative or unenforceable, such decision shall not affect any other provisions hereof and the remainder of this Agreement shall be effective as though such void, invalid, inoperative or unenforceable provision had not been contained herein.
j. Membership agreements can be terminated with 10 days notice from the next billing cycle otherwise member is financially responsible for the following months billing statement.
Force Majeure
Neither Story nor the member shall be liable for any failure or delay in performing obligations under these Terms where such failure or delay results from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, pandemics, or other unforeseeable events.
Dispute Resolution
Any disputes arising under these Terms shall be resolved through binding arbitration in Jefferson County, Kentucky, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to reasonable attorneys' fees and costs.
Modifications to Terms
Story reserves the right to modify these Terms at any time. Updated Terms will be posted on the Site and members will be notified via email. Continued use of the Services after such modifications constitutes acceptance of the updated Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to conflict of law principles.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
